Global Adventures is an international travel company that usually organises travel and promotes tourism to all parts of world. In addition to that, the company is owned by three partners namely Sharon, Michael and Peter. In addition to that, they have equal share in the business. In 2014, three owners decided to form a board in order to add value with regards to governance of the business.
Moreover, the Global Adventures’ Board consists of five external directors. These people bring a wide variety of skills to the organisation. However, it is interesting to note that one among these five directors is an accountant who does not possess any experience in the travel and tourism industry.
On the other hand, another among them has senior managerial experience with Information Technology industry. In addition to that another director is semi-retired and is an experienced manager from the financial sector. Moreover, the other director is a practicing corporate lawyer. The final external directors possess senior governance experience and has no experience whatsoever in the travel and tourism industry.
Further, the three owners of Global Adventures also have seats on the board. Hence, this makes a board of eight. It is worthwhile to note that the Chief Executive Officer (CEO) attends all board meetings in every eight weeks. The main purpose of the Board is to comply their organisation in accordance with the latest industry trends. In addition to that the Board of directors are also concerned with the latest trends of customer satisfaction. Moreover, the Board is also concerned with the ways to improve its business to achieve a net income growth of at least 7% per annum. They hope to maintain this rate for the next three years. Global Adventures has its Head Office in Auckland, New Zealand. The company engages a number of operational staff in the various departments in its domain of functioning.
It is generally observed that the structure of the company consists of several departments. These departments contribute to a company’s goals and missions. In this context Leach (2015) observed that these departments include various aspects that ultimately lead to the proper functioning of an organisation. The departments of Finance, Accounting, Marketing, Human Resources and Information and Communication Technology makes sure that the organisation performs to its fullest extent even in times of crisis.
Nowadays, the structure and governance that exists within a company boasts of a new term called corporate governance. According to Aladwani (2011), there is an increasing need of corporate governance within the domain of a company. It is so because corporate governance facilitates effective and prudent management that can deliver and determine the success of the company for a long time. Moreover, it is also known as a system by which companies are controlled and directed.
